Q What is the announcement?
On Thursday 26th of April 2007,
Websense, Inc., a security software company headquartered in
San Diego, California, announced
its intent to acquire SurfControl Plc. Websense issued a press
release in which it acknowledged
it made a pre-conditional offer to acquire all the outstanding
shares of SurfControl Plc. The
offer from Websense is a formal offer; it is not the completion of an
acquisition.
Q Why did SurfControl decide to
sell the company?
SurfControl was not trying to sell
the company. SurfControl received an unsolicited, formal
approach from Websense.
Q Have other companies
approached SurfControl to date?
During the due diligence phase of
the approach process, Websense became convinced that
SurfControl’s products and
services would enhance Websense’s offerings and they proceeded to
make a pre-conditional offer for
the company, which is what was announced on April 26, 2007.
Q Is SurfControl entertaining
any other bids or potential offers?
SurfControl will evaluate what is
in the best interest of shareholders.
Q What made SurfControl
appealing to Websense?
We cannot speak on behalf of
Websense. However, SurfControl has a history and a solid
reputation for providing
best-of-breed global on-demand, network and endpoint IT security
solutions.
Q When will the acquisition be
final?
The offer from Websense is a
formal offer; it is not the completion of an acquisition. The offer is
subjected to approval by US and UK
regulatory commissions as well as SurfControl’s shareholders.
Due to regulatory processes that
both companies must complete, we expect the acquisition to take
a minimum of four months.

SurfControl’s customers?
SurfControl is dedicated to our
more than 16 million users and over 25,000 customers worldwide
and will continue to provide
quality products and services through out and beyond the acquisition
process. Websense has committed to
supporting SurfControl’s product line, with initial
commitments through 2010.

SurfControl’s partners?
The SurfControl Partner Program
terms and conditions, sales assistance, evaluations, and support
remain unchanged.

SurfControl’s employees?
